01 About these terms
These terms are set by Odore Limited ("Odore", "we", "us"), a company registered in England and Wales. They have two parts:
- Sections 1 to 10 apply to everyone who uses www.odore.com and its pages (the "Website").
- Sections 11 to 19 also apply if you are a creator or community member who joins a brand's programme run on Odore: for example a creator community on a brand's own odore.com address (such as brandname.odore.com), a brand's own app, or a campaign you are invited to (a "Programme").
By using the Website, or by joining or taking part in a Programme, you accept these terms. If you do not accept them, please do not use the Website or join the Programme.
Brand teams and agencies that use the Odore platform at app.odore.com are covered by the agreement their organisation signs with us, and by the terms shown inside the platform. If anything in these terms conflicts with that agreement, the agreement wins.
02 Using the Website
You may view, download and print pages from the Website for your own information and to assess Odore for your organisation, and you may share links to it. Search engines and AI assistants may index the Website and quote it with a link, in line with our robots.txt file.
You must not:
- use the Website in a way that breaks any law or regulation, or that is fraudulent or harmful;
- try to get unauthorised access to the Website, the servers it runs on or any connected system, or test its security without our written permission (if you find a security issue, please tell us at info@odore.com);
- introduce viruses or other harmful code, or do anything that damages, overloads or interferes with the Website or other people's use of it;
- copy large parts of the Website to republish them or to build a competing product or database, without our written permission;
- send anything through the contact form that is unlawful, abusive, misleading or spam, or that is not about a real enquiry; or
- suggest that you are connected with, or endorsed by, Odore when you are not.
03 Intellectual property
The Website and its content, including text, graphics, images, video, product screens, page design and code, belong to Odore Limited, our group companies or the people who licensed them to us, and are protected by copyright and other intellectual property rights. Apart from the uses allowed above, you may not copy, change, distribute or use our content for commercial purposes without our written permission. You may quote short extracts as long as you credit Odore and link to the page.
"Odore" is a registered trade mark of Odore Limited, and the Odore logo is our trade mark. Client and partner names and logos, and content made by creators, belong to their owners and appear on the Website with their permission. Nothing on the Website gives you any right to use any of these names, logos or content.
04 Information on the Website and the Journal
The Website gives general information about Odore and our market. It is not professional advice, and nothing on it is an offer to supply services. We supply services only under a signed agreement.
Case studies, statistics and product screens show past results or sample data. Some figures, such as earned media value, are modelled estimates rather than sales or revenue. Results vary from programme to programme.
Articles in our Journal reflect the date they were published. Articles marked "From the archive" were written for our earlier website and describe the market, and Odore, as they were then. We work to keep the Website accurate, but we do not promise that every page is complete or up to date.
05 Links to other websites
The Website links to other sites, including the sign-in page for the Odore platform, LinkedIn and the sources quoted in Journal articles. Apart from the platform, we do not control these sites and are not responsible for their content, availability or privacy practices. A link is not an endorsement.
06 Availability and security
We provide the Website free of charge, "as is" and "as available". We may change, suspend or remove any part of it at any time without notice. We take care to keep the Website secure and free of viruses, but we cannot guarantee it, so please use your own virus protection.
07 Our liability
Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited or excluded by law.
Subject to that, and because the Website is free information for businesses, we are not liable to you for any loss or damage arising from your use of the Website or your reliance on its content, whether in contract, tort (including negligence), breach of statutory duty or otherwise. In particular, we are not liable for loss of profit, revenue, business, contracts, goodwill or anticipated savings, for loss or corruption of data, or for any indirect or consequential loss. We are also not liable for delays or failures caused by events outside our reasonable control.
If you use the Website as a consumer, nothing in these terms affects your statutory rights. Our liability to customers for our services is set by the agreement with their organisation, not by these terms.
08 Privacy and cookies
Our privacy policy explains how we use personal data collected through the Website, including the contact form. Our cookie policy explains the cookies we use, which are only set if you agree.
09 Changes to these terms
We may update these terms from time to time. The new version applies from the date it is published on this page, shown at the top. Please check back occasionally. If you take part in a Programme, section 18 also applies.
10 General
If a court finds any part of these terms invalid, the rest stays in force. If we do not enforce a right straight away, we can still enforce it later. We may transfer our rights under these terms to another company, in a way that does not reduce your rights, for example if our business is sold. The Brand running a Programme may enforce sections 13, 14 and 17 against you. Apart from that, no one other than you and us has any right to enforce these terms under the Contracts (Rights of Third Parties) Act 1999.
These terms are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute about them, including non-contractual disputes. If you are a consumer living in Scotland, Northern Ireland or the European Union, you may also bring proceedings in the courts where you live. If you are a consumer, you also keep the protection of the mandatory laws of the country where you live.
11 Creators and community members
Sections 11 to 19 apply when you join or take part in a Programme. Each Programme is run by a brand (the "Brand") using the Odore platform. Odore provides the technology and, where the Brand asks us to, helps run the Programme for it, for example by checking applications, sending messages and arranging delivery of products.
A Programme may have its own rules, such as a campaign brief, programme rules or competition terms, shown when you join or when you accept a campaign. Where those rules conflict with these terms, the Programme's rules apply to that Programme. Some Programmes have their own terms that replace these terms completely; where that happens, the Programme will tell you.
How your personal data is used in a Programme is explained in our privacy policy and in the Brand's own privacy notice.
12 Joining a Programme
- You must be at least 18 years old, unless a Programme clearly says it accepts younger members with permission from a parent or guardian. If you are under 18, your parent or guardian must agree to these terms for you.
- The details you give us, including your name, social media accounts and delivery address, must be true, complete and kept up to date. Each person may have only one account in a Programme.
- You are responsible for keeping your login details safe and for anything done through your account, unless it was not your fault. Tell us straight away at info@odore.com if you think someone else has used it.
- The Brand decides who joins its Programme and who is invited to each campaign. Joining does not guarantee that you will receive products, invitations or rewards.
- Taking part is voluntary. Unless you have signed a separate agreement, you are not employed by, and do not work for, the Brand or Odore.
13 Your content
You keep ownership of the content you create, such as photos, videos, captions, reviews and comments ("Your Content").
When you submit Your Content through a Programme, or post it with a campaign's hashtag, tag or link so that it can be found for that campaign, you give the Brand, and Odore acting for the Brand, a non-exclusive, worldwide, royalty-free licence to collect, host, store, review, display and report on it within the Programme and to the Brand's teams and agencies, for as long as the Brand keeps the Programme's records.
If the Brand wants to use Your Content more widely, for example in its advertising, on its website or on its own social media channels, the campaign brief or Programme rules will say how and for how long, and the Brand will use it in that way only with your agreement.
You promise that Your Content is your own original work, that you have permission from anyone who appears in it or whose work it includes (such as music, images or other people), that it reflects your own experience of the product, and that it does not break any law or anyone else's rights.
14 Labelling and honesty
If you received a product for free, were paid, or were offered points, rewards or any other benefit, your posts about the Brand must say so clearly, in the way the law and the social media platform require. In the UK this means following the CAP Code and the guidance of the Advertising Standards Authority and the Competition and Markets Authority; in the US, the Federal Trade Commission's Endorsement Guides; and elsewhere, the local rules. In practice, use a clear label such as #ad or #gifted, as the campaign brief says, at the start of the caption and on the video, and use the platform's own paid partnership tools where the brief asks for them.
Your posts must reflect your honest opinion and your real use of the product. Do not make claims about a product that the Brand has not approved, such as medical, health or performance claims, and do not buy or fake followers, likes, views or comments.
15 Products and delivery
- Products sent to you through a Programme are gifts unless the Programme says otherwise. You do not have to post about a product unless the campaign brief says that a post is part of taking part; if it does, that post is advertising and must be labelled as described above.
- We and the Brand's delivery partners use your delivery address to send you products, keep delivery records and prevent fraud, such as duplicate accounts. If a parcel cannot be delivered because of a wrong or incomplete address, it will not be sent again.
- Read the product's label and instructions before use. If you have allergies or sensitive skin, check the ingredients and do a patch test first. Stop using any product that causes a reaction.
- The Brand is responsible for the products it sends. Your legal rights in relation to faulty or unsafe products are not affected by these terms.
16 Points, rewards and payments
- Some Programmes award points or rewards. Their value, how you earn them, how you can use them and when they expire are set by the Programme's rules.
- Points and rewards have no cash value, cannot be exchanged for money unless the Programme says so, and cannot be sold or transferred to anyone else.
- The Brand may change or end its points or rewards scheme. We will give you reasonable notice and, where possible, a fair chance to use points you have already earned. Points or rewards gained through fraud, fake accounts or a serious breach of these terms may be removed.
- If you are paid for taking part, the payment terms are set out in the campaign brief or in a separate agreement, which will say who pays you and when. You are responsible for any tax due on products, rewards or payments you receive.
17 How you must behave
In a Programme you must not:
- post or send anything that is unlawful, misleading, defamatory, hateful, discriminatory, harassing, sexually explicit or violent, or that infringes anyone's rights;
- share other members' personal information, or information about a Brand or campaign that you are asked to keep private, such as products before launch;
- impersonate anyone, or create accounts using false details or automated tools;
- try to get around the Programme's rules, interfere with the platform, or access it in ways it was not designed for; or
- sell, transfer or share your account, invitations, products or rewards, where the Programme does not allow it.
We and the Brand may review Your Content and messages sent through a Programme to check that they follow these terms, the campaign brief and the law.
18 Leaving, suspension and changes
You can leave a Programme at any time, by using the option in the Programme or by emailing info@odore.com. When you leave, we will close your account in that Programme. If you want your data deleted as well, say so and we will pass your request to the Brand. Content the Brand has already used under a licence you gave it may continue to be used for the rest of that licence.
To complain about a Programme, or to report content that infringes your rights, email info@odore.com with the details.
We or the Brand may suspend or remove your account, cancel invitations or rewards, or stop sending you products if you break these terms or a Programme's rules, if we reasonably suspect fraud, or if the Brand ends the Programme. Where it is reasonable, we will tell you why.
If a change to these terms affects you significantly, we will tell you in the Programme or by email before it applies. If you do not agree to the change, you can leave the Programme.
19 Liability for creators and community members
Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited or excluded by law, and nothing affects your rights as a consumer.
Subject to that, we are responsible for loss or damage you suffer that is a foreseeable result of our breaking these terms or failing to use reasonable care and skill, but not for loss that was not foreseeable, for business losses, or for loss caused by events outside our reasonable control. The Brand is responsible for its Programme, its products, its rewards and its use of Your Content.
